These terms and conditions outline the rules and regulations for the use of Victoria Crest LLC’s Website and Platform.

1. Definitions

Affiliate means any entity controlling, controlled by or under common control with Victoria Crest LLC and/or the platform.

Confidential Information means all information proprietary to a party or any of its customers or agent designated as confidential, or that due to its nature is known or in good faith should be known to be confidential.

Product means any software, program, material, video, and or work supplied by Victoria Crest LLC and/or the platform under this agreement.

Managed Services means the services to be provided by and on the platform including, without limitation, implementation, deployment, training, security assessment, and other services.

2. Managed Services

Victoria Crest LLC provides the following managed services:

  • Project verification and knowledge sharing
  • Individual project skill development
  • Protection of the operating system and server traffic
  • Event monitoring and around the clock response

3. Use of Platform

The Platform is owned and operated by Victoria Crest LLC and/or its licensors. By using the Platform, you agree to the following:

  • You will only use the Platform for its intended purpose, as outlined in this agreement.
  • You will implement appropriate safeguards and controls to prevent unauthorized use or distribution of anything on the Platform.
  • You do not have authority to copy, modify, transfer or distribute any information, material, project or ideas on the Platform without express written consent.
  • You do not have authority to sublicense, rent, lease, or use the Platform in a service bureau, online or time-sharing environment without express written consent.

4. Customer Data

As a user of the Platform, you agree:

  • To comply with all applicable data protection and privacy laws
  • You have the legal right to provide any data stored on the Platform
  • To obtain appropriate consents for Victoria Crest LLC to process data on your behalf
  • Victoria Crest LLC will notify you of any third party requests for data (unless legally prohibited)

5. Billing and Payments

You agree:

  • To provide valid payment information
  • Pay undisputed invoices within 30 days
  • Pay any applicable taxes

6. Modifications to Terms

Victoria Crest LLC reserves the right to modify these terms at any time. Your continued use of the Platform constitutes agreement to the updated terms.

These terms are governed by the laws of New Jersey, USA.

8. Limitation of Liability

In no event shall Victoria Crest LLC be liable for any indirect, incidental, special, consequential or punitive damages arising out of or relating to use of the Platform. Victoria Crest LLC’s total cumulative liability relating to the Platform shall not exceed the amounts paid by you to Victoria Crest LLC for the services giving rise to the liability in the twelve (12) months preceding the first incident giving rise to liability.

9. Indemnification

You agree to indemnify and hold harmless Victoria Crest LLC and its affiliates from any demands, loss, liability, claims or expenses arising out of: (a) your use of the Platform in violation of this Agreement; (b) your violation of any law or rights of a third party; or (c) any dispute between you and any third party with respect to ownership or rights to data you provide through the Platform.

10. Acceptable Use

You agree not to misuse the Platform or assist others in doing so. This includes activities such as:

  • Violating laws, regulations or third party rights
  • Transmitting malware or other destructive code
  • Attempting to gain unauthorized access to systems or networks
  • Overloading, spamming or hacking

We reserve the right to terminate your access for violations of acceptable use standards.

11. Changes to the Platform

We reserve the right to modify, suspend or discontinue the Platform at any time without notice. We are not liable to you for any modifications, suspensions or discontinuation of the Platform or any part thereof.

12. Ownership

The Platform and all content, features, and functionality on the Platform are owned by Victoria Crest LLC, its licensors, or other providers of such material and are protected by copyright, trademark, patents, and other proprietary rights and laws.

13. Trademarks

The trademarks, logos, and service marks displayed on the Platform are registered and unregistered marks belonging to Victoria Crest LLC and others. Nothing contained on the Platform or in these Terms should be construed as granting any right to use any trademark without the written permission of Victoria Crest LLC or the third party owner.

14. Termination

We reserve the right to terminate your access to the Platform for any reason, without notice, including for breach of these terms. You may deactivate your account at any time.

15. Entire Agreement

These Terms constitute the entire agreement between you and Victoria Crest LLC with respect to the Platform, superseding all prior agreements.
